Merchant Agreement

1. Introduction

This Merchant Agreement ("Agreement") is a legally binding agreement between GoBalik ("GoBalik," "we," "us," or "our") and the individual or business entity ("Merchant," "you," or "your") that registers for or uses the GoBalik platform.

This Agreement governs your access to and use of GoBalik's merchant services, including the Merchant Portal, loyalty program management tools, QR code services, analytics, APIs, and any other products, features, or services provided by GoBalik.

By creating a Merchant account, accessing the Merchant Portal, or using any GoBalik merchant services, you acknowledge that you have read, understood, and agree to be bound by this Agreement, together with our Terms & Conditions, Privacy Policy, Acceptable Use Policy, and any other applicable policies published by GoBalik, all of which are incorporated into this Agreement by reference.

If you do not agree to this Agreement, you must not register for or use the Services.

2. Merchant Responsibilities

The Merchant is solely responsible for:

  • The products and services it offers.

  • The creation, administration, and fulfillment of rewards, promotions, discounts, and loyalty campaigns.

  • Customer service, customer support, and dispute resolution.

  • The accuracy of promotional content, pricing, advertisements, and marketing claims.

  • Compliance with all applicable laws, regulations, permits, licenses, and industry-specific requirements, including age-restricted products or services where applicable.

GoBalik provides software and platform services only and does not act as the seller, merchant of record, agent, franchisee, or representative of the Merchant.

3. Customer Relationship

The commercial relationship between the Merchant and its customers remains solely between those parties.

GoBalik does not participate in sales transactions between Merchants and their customers and is not responsible for the quality, safety, legality, delivery, pricing, warranties, or fulfillment of any products or services offered by the Merchant.

GoBalik will not intervene in customer disputes except where reasonably necessary to:

  • Investigate fraud or suspected abuse;

  • Protect platform security and integrity;

  • Comply with applicable laws or lawful government requests; or

  • Enforce this Agreement or other GoBalik policies.

4. Intellectual Property

All GoBalik software, platform architecture, source code, workflows, interfaces, APIs, trademarks, logos, content, documentation, analytics, and related intellectual property remain the exclusive property of GoBalik or its licensors.

Except as expressly permitted by applicable law or with GoBalik's prior written consent, Merchants may not:

  • Copy or reproduce any part of the platform.

  • Reverse engineer, decompile, or disassemble the platform.

  • Replicate or imitate GoBalik's proprietary functionality or workflows.

  • Scrape, harvest, or extract platform data through automated means.

  • Develop products or services that unlawfully copy or substantially replicate GoBalik's proprietary technology.

5. Fraud Prevention

To protect the integrity of the platform, GoBalik may investigate suspected fraudulent, abusive, or unauthorized activity and may, where appropriate:

  • Revoke fraudulently obtained rewards, points, stamps, or loyalty benefits.

  • Reverse manipulated or unauthorized loyalty transactions.

  • Suspend or terminate Merchant accounts.

  • Restrict access to specific platform features.

  • Take any other reasonable action necessary to protect the platform, its users, or other Merchants.

6. Beta Features

Certain Services or features may be designated as beta, preview, or experimental features.

These features are provided for evaluation purposes and may be modified, suspended, discontinued, or replaced at any time without prior notice.

7. Service Availability

While GoBalik strives to maintain reliable and continuous access to the Services, uninterrupted or error-free operation is not guaranteed.

The Services may become temporarily unavailable due to scheduled maintenance, emergency maintenance, software updates, third-party service interruptions, network failures, security incidents, or events beyond GoBalik's reasonable control.

GoBalik shall not be liable for temporary interruptions or downtime resulting from such circumstances.

8. Data Retention After Termination

Following termination of this Agreement, GoBalik may retain operational and transactional data for up to thirty (30) days where reasonably necessary for:

  • Account restoration requests;

  • Fraud prevention and security investigations;

  • Legal or regulatory compliance; or

  • Resolution of disputes.

Data retention remains subject to GoBalik's Privacy Policy and applicable laws.

9. Limitation of Liability

To the maximum extent permitted by applicable law, GoBalik's total aggregate liability arising out of or relating to this Agreement shall not exceed the total subscription fees actually paid by the Merchant to GoBalik during the six (6) months immediately preceding the event giving rise to the claim.

Nothing in this Agreement limits liability where such limitation is prohibited by applicable law.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts of the Republic of the Philippines, unless otherwise required by applicable law.

11. Electronic Acceptance

By creating a Merchant account, clicking an acceptance button, or otherwise accessing or using the Services, the Merchant acknowledges that it has read, understood, and agrees to be legally bound by this Agreement and all applicable GoBalik policies.

Electronic acceptance shall have the same legal force and effect as a handwritten signature to the extent permitted by applicable law.
